Amendment to IRE’s Articles of Incorporation

The board of directors of Investigative Reporters and Editors Inc. unanimously passed a resolution on Nov. 19, 2008, to submit to the membership an amendment to Section 6.03 of IRE’s Articles of Incorporation. Attendees at the IRE membership meeting voted to approve the amendment on July 13, 2009.

The proposed amendment, which was suggested to the board of directors by the IRE Member Services Committee, would allow more than one academic member to serve on the Board of Directors.

IRE’s Board of Directors supports the proposed amendment, which it believes to be in the best interests of the organization and recommends its adoption by the membership. The board believes that the amendment would eliminate an unnecessary restriction placed on a class of membership otherwise entitled to full participation in the organization. It also would empower the membership to decide, without arbitrary limitation, who will serve as its representatives on the Board.

A vote by two-thirds of the members who attend the annual membership meeting is required to amend the Articles of Incorporation. If this measure is approved, it will take effect immediately and would apply to the board member elections that will be held immediately following the vote on the Articles of Incorporation.
